PhotoFusion (TM) non exclusive License Agreement   

IMPORTANT - THIS IS A LEGAL AGREEMENT.  
BY INSTALLING, YOU ARE CONSENTING TO BE BOUND BY THIS LICENSE AGREEMENT.   
   
Current License Agreement is entered between SCALADO Ltd. a Swedish company with organization No. 556594-6885, below called “Licenser”,
head office located at IDEON Research Park, Scheelev?gen 17, Beta 4, SE 223 70 Lund, Sweden, And Installer below called "Licensee".                                                                                                                           
   
Definitions  
   
1. Agreement means PhotoFusion non exclusive,non transterable license Agreement.

2. “Licenser” and “Licensee” are jointly called “Parties” each being a “Party”.
   
3. “Acceptance” is characterized under this Agreement as installation of PhotoFusion by the “Licensee".

4. IPR is used as an abbreviation for Intellectual Property Rights.

5. Mobile device license means one (1) license for each mobile phone or PDA, “Licensee” intends to use PhotoFusion software on.     

Articles     
1. Limited License grant
PhotoFusion may not be spread or copied by the "Licensee".
The “Licensee” may not alter, disassemble, perform reverse engineering, decompile or otherwise attempt to discover the source code or
underlying ideas or algorithms of the software or any subsequent version thereof or any part thereof nor use the PhotoFusion for any other
purposes than their intended use as permitted by this agreement and compulsory legislation.  
The PhotoFusion license is a mobile devise license.

2. Contemplated license agreements
A PhotoFusion License Agreement is validly accepted and PhotoFusion may be used by the “Licensee” through “Acceptance”
of terms and conditions of this Agreement.

3. Manual
Basic user manual and installation instructions document will be found at www.scalado.com.

4. Technical Support
Technical support for PhotoFusion via WEB site www.scalado.com for the initial six (6) months period from the date of “Acceptance”
of Agreement by the “Licensee” is included in the PhotoFusion list price.
      
Legal Terms and Conditions
   
1. No transfer of rights
Nothing contained herein shall be construed as transferring any title or ownership with regard to “Licenser’s” property such as, but not
limited to IPR, software, confidential information or documentations, business model, utility model, trademark, logotype, design or
copyright.
   
2. Limited Warranty
Software is provided "AS IS". “Licensee’s” exclusive remedy and “Licenser's” entire liability under this limited warranty will be at
“Licenser's” option to replace Software media or refund the fee paid for Software.

3. Liability
“LICENSER” WARRANTS THAT IT HAS THE SUFFICIENT RIGHT, TITLE AND INTEREST IN THE PHOTOFUSION TO ENTER INTO THIS AGREEMENT.
“LICENSER” DELIVERS THE PHOTOFUSION TO THE “LICENSEE” “AS IS” WITHOUT ANY LIABILITY FOR “LICENSER”. “LICENSER” EXPRESSLY DISCLAIMS
ALL WARRANTIES INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, AND FITNESS FOR A PARTICULAR PURPOSE. “LICENSER” WILL NOT BE
LIABLE TO ”LICENSEE” OR ANY THIRD PARTY FOR ANY DAMAGES INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOST SAVINGS OR OTHER SPECIAL,
INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE PHOTOFUSION, EVEN IF “LICENSER” HAS BEEN
ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. IN NO EVENT WILL “LICENSER” BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL
DAMAGES. “LICENSER” SHALL HAVE NO LIABILITY FOR ANY CLAIM THAT “LICENSER” LACKS RIGHT, TITLE AND INTEREST TO PHOTOFUSION OR ANY
CLAIM OF COPYRIGHT OR PATENT INFRINGEMENT, BASED ON ”LICENSEE’S” USE OF PHOTOFUSION OR ”LICENSEE’S” MODIFICATION OR COMBINATION OF
THE PHOTOFUSION WITH NON-“LICENSER” PRODUCTS. IN ADDITION, “LICENSER” WILL NOT HOLD “LICENSEE” HARMLESS AGAINST ANY SUIT, CLAIM OR
PROCEEDING ARISING OF ANY USE OF PHOTOFUSION.

4. Trademark
“Licensee” recognizes the substantial goodwill associated with the trademark Scalado and PhotoFusion and acknowledges that such
goodwill belongs exclusively to “Licenser”.  

5. Severability
In the event any provision or any portion of any provision of this Agreement shall be held invalid, illegal, or unenforceable, the remainder
of this Agreement shall remain valid and enforceable.
   
6. Termination of this Agreement
This Agreement is effective until terminated.

This Agreement will terminate immediately without notice and without compensation from “Licenser” if “Licensee” fails to comply with any
provision of this Agreement.

Upon termination “Licensee” must destroy all copies of PhotoFusion  .

In case of termination the article the articles “No transfer of rights” and “Liability” shall survive the termination perpetually.

7. Governing law and Disputes
This Agreement shall be governed by and in accordance with the laws of kingdom of Sweden. All disputes, differences or questions with
respect to any matter arising out or relating to the Agreement shall be finally settled by Stockholm City court.The parties agree that
the United Nations Convention on Contracts for the International sale of Goods shall not apply to this Agreement.     
In case of conflict between the English version of this Agreement and any and all other language version (s), the English version shall
prevail.  
   
8. Indemnity to “Licenser”
As a condition precedent to each license grant in this Agreement, “Licensee” agrees to indemnify, hold harmless, and defend “Licenser” and
its Licensers from and against any and all claims, lawsuits, liabilities, demands and expenses, including attorney's fees, that arise or
result from the use or distribution of PhotoFusion, relating to “Licensee’s” using, selling, licensing, importing and offering to
sell the PhotoFusion.

9. Integration
This Agreement is the entire agreement between “Licensee” and “Licenser” relating to its subject matter.
